Terms of Service

Welcome to AlphaCyberOps (“AlphaCyberOps”, “we”, “our”, “us”). By accessing alphacyberops.com, entering into a proposal, or using our services, you agree to these Terms.

1. Services

We provide social media marketing, web development, and online business development services (collectively, the “Services”). Specific deliverables, timelines, and pricing are defined in our proposal/statement of work (“SOW”).

2. Client Responsibilities

• Provide timely access to accounts, brand assets, product info, and approvals.
• Warrant that all materials you supply do not infringe third-party rights and comply with law/platform rules.
• Comply with our Acceptable Use Policy.

3. Fees, Billing & Taxes

• Fees and payment schedules are set out in the SOW. Taxes (including GST, where applicable) are extra unless stated.
• Late payments may incur 1.5% monthly interest (or the maximum permitted by law).

4. Intellectual Property

Upon full payment, ownership in final deliverables passes to you, excluding (a) our pre-existing IP, frameworks, and libraries; (b) third-party components subject to their licenses; and (c) our methods and know-how. We grant you a non-exclusive license to our pre-existing IP as embedded in the deliverables.

5. Revisions & Change Control

Revisions included are as stated in the SOW. Material scope changes require a written change order with adjusted fees/timelines.

6. Confidentiality

Each party will protect the other’s confidential information and use it solely to perform under the SOW.

7. Warranties & Disclaimers

We will perform the Services with reasonable skill and care. Except as expressly stated, the Services are provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability for all claims is limited to fees paid by you in the three (3) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.

9. Term & Termination

• Either party may terminate for material breach if uncured within 14 days of written notice.
• On termination, you shall pay for work completed and non-cancellable third-party costs through the effective termination date.

10. Publicity

Unless you opt out in writing, we may reference your name/logo as a client and describe high-level results.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Jurisdiction and venue shall be with the competent courts at Gurgaon (Gurugram), Haryana, India.

13. Refunds & Cancellations (India-specific)

13.1 Project Sprints (One-time engagements)

• Deposits: Non-refundable once work commences and internal resources are allocated.
• Cancellation: If you cancel mid-sprint, we will invoice for work performed to date and any committed third-party costs (e.g., ads, licenses).

13.2 Monthly Plans (Retainers)

• Cancellation Window: You may cancel with 14 days’ written notice before the next billing cycle.
• Proration: We do not prorate partial months unless required by applicable law.

13.3 Third-Party Fees & Ad Spend

Media spend (e.g., Meta/Google), third-party licenses, themes, plugins, and pass-through costs are billed at cost and are non-refundable.

13.4 Refund Method & Timeline

• Approved refunds are issued to the original payment method.
• Processing time: typically 7–10 business days after approval (bank/issuer timelines may vary).

13.5 How to Request

Email billing@alphacyberops.com with your invoice number, engagement details, and reason for the request. We aim to respond within five (5) business days.
